Public Offer Agreement
for the Provision of Information and Consulting Services
1. General Provisions
1.1. This Public Offer Agreement (hereinafter referred to as the "Agreement") is an official proposal by "Heyon Ukraine" LLC (Code 44144473) and Individual Entrepreneur Sokolovskyi Oleksii (TIN: 3367913253) (hereinafter referred to as the "Contractor"), addressed to an unlimited number of individuals (hereinafter referred to as the "Customer"), to agree to the terms outlined in this document.
1.2. The Agreement is considered concluded between the Contractor and the Customer upon the full and unconditional acceptance by the Customer of the terms of this Offer by making the Acceptance. The Acceptance is deemed the Customer's payment for the Contractor's services.

1.4. The Contractor reserves the right to amend the terms of this Agreement unilaterally. Changes take effect from the moment of publication unless otherwise specified by the terms of the agreement.
1.5. The Customer confirms that they have read, fully understood, and agreed to the terms of this Agreement and undertakes to comply with them after accepting the Offer.
1.6. The Contractor provides information and consulting services (hereinafter referred to as "services" or "training") under the terms of this Agreement, and the Customer undertakes to accept and pay for them.
1.7. The terms of this Agreement are the same for all Customers unless otherwise specified in a separately concluded additional agreement to this Agreement.
2. 2. Subject of the Agreement and Provision of Services
2.1. The Contractor provides the Customer with services related to training, certification, and preparation in the relevant fields by the selected training program (hereinafter referred to as "services" or "training"). The list and description of services the Contractor provides are defined in specific offers or programs presented on the Contractor's website.
2.2. Services can be provided online and/or offline according to the specified schedule and course duration. The duration of the course and the schedule of training sessions are indicated in the training program, which is an integral part of this Offer. Additionally, access to recorded video lessons is granted for at least six months from the moment the Contractor receives payment.
2.3. The Contractor reserves the right to change the format and schedule of service provision and the training program at its discretion without prior agreement with the Customer.
3. Cost of Services and Payment Terms
3.1. The cost of services the Contractor provides is determined by the tariffs published on the Contractor's website or specific offers available to the Customer. The contractor may change the cost of the course or training program unilaterally. Changes take effect 5 calendar days after publication on the website and/or agreement with the Customer.
3.2. Payment for the services is made by the Customer using one of the available methods specified on the Contractor's website or as agreed by the parties. The Customer undertakes to pay the full cost of the services before the start of service provision unless otherwise agreed by the parties.
3.3. Funds paid by the Customer for the provision of services are non-refundable in case of termination of the Agreement or the Customer's refusal to continue receiving the services, except when the Customer submits a written request for a refund before the start date of the training.
3.4. The Contractor has the right to refuse to provide services or suspend their provision if the Customer fails to fulfill payment conditions or other obligations stipulated by this Offer.
3.5. By paying for the Contractor's services, the Customer agrees to the terms and scope of the service provision by the fact of payment and has no claims against the Contractor.
4. Rights and Obligations of the Parties
4.1. Obligations of the Contractor:
4.1.1. The Contractor undertakes to provide the services specified in this Offer in accordance with the conditions described in the training program and provided to the Customer.
4.1.2. The Contractor undertakes to ensure the provision of services within the timeframe set by the approved schedule and in the defined format (online or offline).
4.1.3. The Contractor undertakes to provide the Customer with all necessary materials and resources for completing the training (if provided for in the course conditions).
4.1.4. In case of any changes to the Agreement, training program, format of training, etc. The Contractor shall promptly publish such changes on the Internet at the following link: https://theheyon.com/terms.
4.2. Obligations of the Customer:
4.2.1. The Customer undertakes to pay for the services in the amount and within the deadlines specified in this Agreement or in separate agreements between the parties.
4.2.2. The Customer undertakes to comply with all instructions, rules, and requirements related to the educational process and to actively participate in the training.
4.2.3. The Customer undertakes to provide the necessary information and documents required for participation in the course (if necessary).
4.2.4. The Customer is not entitled to transfer access to the course to third parties without the written permission of the Contractor.
4.2.5. The Customer shall regularly review the terms of this Agreement and any amendments thereto, which are published online at: https://theheyon.com/terms.
4.3. Rights of the Contractor:
4.3.1. The Contractor has the right to unilaterally change the schedule, format or training program.
4.3.2. The Contractor has the right to suspend or refuse the provision of services if the Customer violates the terms of this Agreement.
4.4. Rights of the Customer:
4.4.1. The Customer has the right to receive services in accordance with the terms of this Agreement and the training program
4.4.2. The Customer has the right to contact the Contractor with questions regarding the training and receive the necessary consulting support.
5. Liability of the Parties and Force Majeure
5.1. Liability of the Contractor:
5.1.1. The Contractor is responsible for providing services in accordance with the terms of this Offer and the training program.
5.1.2. The Contractor shall not be held liable for damages caused to the Customer as a result of the Customer’s improper performance of their obligations or violation of the training rules.
5.1.3. The Contractor shall not be liable for the Customer’s inability to access the training materials hosted on the Contractor’s services due to technical or other reasons not related to the operation of the service itself.
5.2. Liability of the Customer:
5.2.1. The Customer is responsible for timely payment for services and compliance with the training rules specified in the program and on the Contractor’s website.
5.3. Force Majeure:
5.3.1. Neither party shall be held liable for failure to perform or improper performance of their obligations under this Agreement if such failure was caused by force majeure circumstances.
5.3.2. Force majeure circumstances include but are not limited to natural disasters, military actions, epidemics, terrorist acts, strikes, changes in legislation, restrictions or sanctions and other circumstances beyond the parties’ control.
5.3.3. A party affected by force majeure must notify the other party of its occurrence as soon as possible and take all necessary measures to minimize the consequences.
6. Confidentiality and Protection of Personal Data
6.1. Confidentiality of Information:
6.1.1. The Contractor undertakes to maintain the confidentiality of all information that becomes known during the execution of this Agreement, except when disclosure is required by law.
6.1.2. The Customer undertakes not to transfer to third parties any information that is the property of the Contractor or that was obtained in the course of this Agreement.
6.2. Personal Data Protection:
6.2.1. The Contractor undertakes to process the Customer’s personal data provided within the framework of this Agreement in accordance with the laws of Ukraine on personal data protection.
6.2.2. The Customer provides full and unconditional consent to the processing of their personal data for purposes related to the execution of this Agreement, including course registration, consultations, certificate issuance, etc.
6.2.3. The Contractor guarantees that the Customer’s personal data will not be transferred to third parties without the Customer’s written consent, except in cases required by law.
6.3. Data Protection Obligations:
6.3.1. The Contractor undertakes to take necessary measures to protect personal data from unauthorized access, loss or alteration.
6.3.2. The Contractor undertakes to immediately inform the Customer in the event of any personal data protection breaches affecting the Customer.
7. Amendments and Other Provisions
7.1. Amendments to the Agreement:
7.1.1. The Contractor has the right to amend the terms of this Offer unilaterally. Any such amendments shall take effect 5 calendar days after their publication on the official website of the Contractor, unless otherwise provided by this Agreement.
7.1.2. . If the Customer does not agree with the amendments made, they have the right to terminate the Agreement, provided they notify the Contractor accordingly.
7.2. Other Provisions:
7.2.1. Amendments to this Agreement may be made by the parties through the execution of additional agreements to the contract unless otherwise stipulated in this Agreement.
7.2.2. All legal relations arising under this Offer shall be governed by the laws of Ukraine.
7.2.3. If any provision of this Offer becomes invalid or is found to be contrary to applicable law, such invalidity shall not affect the validity of the remaining provisions of this Agreement.
7.2.4. The parties agree to resolve any disputes arising under this Agreement through negotiations. If no agreement is reached, the dispute shall be submitted to the court at the Contractor’s place of registration.
7.2.5. The parties confirm their adherence to the principles of inclusion and equal access for persons with disabilities. The parties support the involvement of persons with disabilities in project implementation and other initiatives, apply a non-discriminatory approach in their interactions and take measures to ensure maximum accessibility of their products, services, and environments for all users.

1. General Provisions
1.1. 2.1. The Contractor may process the following categories of personal data:

• Information necessary for contracts, certificates, or training participation.
2.2. Data is collected during:
• Registration on the website or training center system;
• Client communication;
• Conclusion of contracts or ordering of services.
3. Purpose of Data Processing
3.1. Data is processed for:
• Providing training and certification services;
• Maintaining tax records and fulfilling contractual obligations;
• Informing users about news, promotions, and services;
• Improving service quality and analyzing user needs.
3.2. Data may be used for promotional material distribution with user consent.
4. Transfer of Personal Data to Third Parties
4.1. The Contractor may transfer personal data:
• To authorized state authorities by the law;

6.1. Users have the right to:
• Access information about their personal data processing;
• Request corrections to inaccurate data;
• Request data deletion as prescribed by law;

6.2. Requests are processed within 30 calendar days.
